Data Act (EU Data Regulation)
EU regulation designed to govern the access, sharing, and use of data, particularly data generated by connected devices (IoT) and digital services. It strengthens user rights over their data, promotes portability and interoperability, and regulates contractual data-sharing arrangements, while enabling secure access for public authorities in cases of exceptional need.

Data Room
A secure physical or virtual repository for confidential documents during due diligence in financial transactions.

Dealflow
The pipeline of potential investment opportunities available to a fund.

DORA (Digital Operational Resilience Act)
EU regulation aimed at ensuring the digital operational resilience of financial institutions. It establishes harmonized requirements for ICT risk management, incident reporting, resilience testing, and third-party risk oversight, including cloud and critical ICT providers.

Drag‑Along Right
A provision allowing majority shareholders to compel minority shareholders to join in a sale of the company on the same terms.

Dry Powder
The uninvested capital available to a fund for future investments.
